# Master Software End User License Agreement

**Provider:** Lanstrike, LLC, a Colorado limited liability company ("Lanstrike")
**Version:** 2026.10.04.1
**Effective:** October 4, 2026

## 1. Acceptance and business use

This agreement (the **Agreement**) governs the AirLog, Halo, and Glide software, documentation, and updates identified in an order or installer (the **Software**). By clicking **I accept**, installing, activating, or using the Software, the customer accepts this Agreement. An individual accepting for an organization represents that the individual has authority to bind it. The Software is offered for business and professional use, not personal, family, or household use.

An **Order** is a quote, order form, invoice, or online checkout accepted by Lanstrike that identifies products, quantities, term, and fees. If documents conflict: the Order controls commercial details; a signed data processing addendum controls personal-data processing; a product schedule controls product-specific use; these master terms control other matters.

## 2. License, activation, and evaluation

Subject to this Agreement, the Order, and payment, Lanstrike grants the customer a limited, non-exclusive, non-transferable, non-sublicensable license during the term to install and use the Software for its internal business operations. Use is limited to purchased capacity, Sites, endpoints, cards, users, and features. License credentials may be used only for the assigned customer account.

The Software may require initial and periodic verification through Lanstrike Cloud. Lanstrike may validate, suspend, reassign, or deactivate entitlements to administer an Order, prevent abuse, address a security risk, or enforce this Agreement. Temporary network loss may permit limited offline operation, but continued licensed or Cloud-connected use may require verification.

Unless an Order states otherwise, an evaluation lasts 30 days from activation. It is for internal assessment, may be capacity-limited, includes no production-service commitment, does not automatically convert to a paid subscription, and ends unless the customer affirmatively purchases service. The customer must export content it wishes to retain before evaluation access ends.

## 3. Fees, renewal, cancellation, and refunds

Fees and payment dates are stated in the Order. Unless an Order expressly states an automatic-renewal term accepted by the customer, a subscription renews only through an affirmative renewal Order. Lanstrike will clearly disclose any recurring term before acceptance and provide the cancellation method applicable to that Order. Except where an Order or non-waivable law provides otherwise, fees are non-refundable once the applicable term begins.

## 4. Ownership and restrictions

The Software is licensed, not sold. Lanstrike and its licensors retain all rights in the Software, services, designs, methods, documentation, and trademarks. Except to the extent law or an open-source license permits, the customer may not copy beyond reasonable backup needs; modify or create derivative works; reverse engineer, decompile, or disassemble; bypass security, licensing, or usage controls; rent, lease, sublicense, sell, or operate the Software as a service bureau; remove notices; or use non-public Software or outputs to build or train a competing product.

Open-source notices and licenses provided with the Software control for their components. Nothing in this Agreement restricts non-waivable interoperability rights or rights granted by an applicable open-source license, including rights applicable to replaceable LGPL-covered components.

## 5. Customer content and lawful use

The customer retains its rights in audio, recordings, alerts, configuration, metadata, contacts, and other material supplied to or created through the products (**Customer Content**). The customer grants Lanstrike and its subprocessors a limited right to host, transmit, convert, copy, and process Customer Content only as reasonably necessary to provide, secure, support, and troubleshoot purchased services.

The customer is responsible for lawful capture, monitoring, retention, transmission, download, and disclosure; all required notices and permissions; endpoint and physical security; authorized users; configuration; backups; and compliance with copyright, privacy, communications, employment, records, and industry obligations. The products do not grant rights in third-party content.

## 6. Cloud services, privacy, and security

Cloud-connected functions are also governed by the Cloud Service Terms, Privacy Notice, Data Processing Addendum when applicable, Security Exhibit, Support Policy, and Acceptable Use Policy posted or supplied with the Order. Customer credentials and authenticated activity are the customer's responsibility until Lanstrike is notified of suspected compromise. No security control eliminates all risk; the parties share responsibilities as described in the Security Exhibit.

## 7. Third-party services and updates

The products may depend on Windows, WebView2, audio hardware and drivers, networks, hosting, communications providers, codecs, and open-source software. Third-party terms, availability, changes, and fees remain the third party's responsibility. Updates may change or retire features for security, reliability, legal, provider, or product reasons. The customer is responsible for testing updates and maintaining supported systems and dependencies.

## 8. Confidentiality and feedback

Each party will protect the other's non-public information identified as confidential or reasonably understood to be confidential using reasonable care, and use it only for the relationship. Exclusions include information independently developed, lawfully received without restriction, or public without breach. Legally compelled disclosure is permitted after notice when lawful. Voluntary feedback may be used by Lanstrike without restriction or identification of Customer Content.

## 9. Limited warranty and disclaimer

For 30 days after initial paid delivery, Lanstrike warrants that the Software will materially conform to its then-current documentation under normal, supported use. The exclusive remedy is commercially reasonable correction, replacement, or termination of the affected license with a prorated refund of prepaid unused fees if correction or replacement is not commercially reasonable.

EXCEPT FOR THAT EXPRESS WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LANSTRIKE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND DOES NOT WARRANT UNINTERRUPTED OPERATION, DETECTION OR DELIVERY OF EVERY CONDITION OR ALERT, CONTINUOUS CONNECTIVITY, OR PRESERVATION OR LEGAL SUFFICIENCY OF ANY CONTENT.

## 10. Indemnification

The customer will defend and indemnify Lanstrike and its personnel from third-party claims arising from Customer Content, unlawful monitoring or transmission, violation of the Acceptable Use Policy, or the customer's material breach. Lanstrike will defend the customer from a third-party claim that unmodified paid Software infringes a United States patent, copyright, or trademark, and may procure continued use, modify or replace the Software, or terminate the affected license and refund prepaid unused fees. Lanstrike has no obligation for claims caused by customer modifications, combinations not supplied by Lanstrike, continued use after notice, or compliance with customer specifications. Indemnification requires prompt notice, control of the defense by the indemnifying party, and reasonable cooperation; no settlement may admit fault or impose non-monetary duties on the protected party without consent.

## 11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, BUSINESS, DATA, RECORDINGS, OR USE. EACH PARTY'S AGGREGATE LIABILITY ARISING FROM THE AFFECTED PRODUCT OR SERVICE WILL NOT EXCEED FEES PAID OR PAYABLE FOR IT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

The exclusions and cap do not apply to payment obligations, a party's indemnification obligations, fraud or willful misconduct, infringement or misappropriation of the other party's intellectual property, or liability that cannot lawfully be limited.

## 12. Suspension, termination, and export

Lanstrike may suspend access to address a material security risk, unlawful use, service harm, nonpayment after notice, or material breach. When practical, Lanstrike will give notice and a reasonable opportunity to cure and will limit suspension to the affected function. Either party may terminate for an uncured material breach after 30 days' written notice, or immediately for insolvency where permitted. On termination, licenses end and the customer must stop use and uninstall the Software. Unless prohibited by law or security needs, Lanstrike will provide a reasonable opportunity, ordinarily 30 days, to export available Customer Content from hosted services. Local content remains under customer control.

## 13. Governing law and disputes

Colorado law governs without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Colorado, and waive objections to those courts, except either party may seek injunctive relief in any court with jurisdiction to protect intellectual property, confidential information, or security.

## 14. General

Neither party is liable for delay caused by events beyond reasonable control, excluding payment obligations. The customer may not assign this Agreement without Lanstrike's written consent, except with a merger or sale of substantially all assets to a non-competitor that assumes the Agreement. Lanstrike may assign it in a corporate reorganization or sale. Notices must be sent to the addresses in the Order; legal notices to Lanstrike must also be sent to **info@lanstrike.com**. If a provision is unenforceable, it is narrowed to the minimum extent necessary and the remainder continues. Waiver must be written. This Agreement, its schedules, incorporated policies, and Orders are the entire agreement on their subject.

## Product schedules

### AirLog schedule

AirLog records and catalogs configured audio sources. Local configured storage is the authoritative recording store unless an Order expressly provides hosted archive. The customer controls paths, retention, cleanup, access, backup, redundancy, and recovery. Catalogs, links, checksums, storage warnings, cleanup, and watchdogs are operational aids and do not guarantee preservation, completeness, authenticity, regulatory compliance, or admissibility. AirLog is not a substitute for a legally mandated logging, public-records, or disaster-recovery system unless an Order expressly says so.

### Halo schedule

Halo monitors configured audio and may generate alerts and recordings. Detection depends on content, thresholds, verification periods, hardware, drivers, operating-system state, network, and third parties. Conditions may be missed or misclassified; alerts may be delayed, duplicated, suppressed, or fail. The customer must authorize alert recipients and maintain independent monitoring and escalation. Halo is not an emergency, life-safety, fire, security, or legally mandated compliance system.

### Glide schedule

Glide transports audio between authorized endpoints using configured codecs and network transports, including SRT and Opus. Quality, latency, continuity, and bandwidth depend on source format, bitrate, buffer, hardware, clocks, network path, relay, and endpoint conditions. The customer is responsible for lawful transmission and endpoint access. Glide is a lightweight contribution or backup-path tool and is not represented as a sole, emergency, or life-safety path unless an Order expressly states otherwise. Transient audio may be buffered or relayed to provide the connection; routine transport does not create a customer-accessible archive unless a separate feature is purchased and enabled.
